Terms of Use

1. About these Terms

These Terms of Use (“Terms”) govern access to and use of the Actera website, including its pages, content, forms and related website features (the “Site”). By using the Site, you agree to these Terms. If you do not agree, you should not use the Site.

The Site provides information about Actera and enables organisations and professional users to contact us or request access. These Terms apply to the Site only. Use of the Actera service is governed by a separate written agreement.

These Terms may be amended from time to time to reflect changes to the Site, our services or applicable law. Any revised Terms will apply from the date they are posted and will not retrospectively change a separate agreement already signed with Actera.

2. About Actera

Actera provides an authority and policy-control layer for AI agents and operates this Site. References in these Terms to “Actera”, “we”, “us” or “our” have the same meaning.

3. Who may use the Site

The Site is intended primarily for business and professional users. You must be at least 18 years old and legally capable of agreeing to these Terms. If you use the Site on behalf of a company or other organisation, you confirm that you are authorised to do so and that your organisation accepts these Terms.

The Site is not directed at consumers purchasing a service for personal use, or at children.

4. Permitted use

You may use the Site to:

  • learn about Actera and its capabilities;

  • evaluate whether Actera may be relevant to your organisation;

  • submit a genuine enquiry or request for access; and

  • communicate with Actera for legitimate business purposes.

You are responsible for ensuring that the information you provide is accurate, lawful and does not infringe another person’s rights. You must have authority to provide any information relating to your employer, customers, systems or other third parties.

5. Prohibited use

You must not:

  • use the Site unlawfully, fraudulently or in a way that infringes another person’s rights;

  • attempt to gain unauthorised access to the Site, its infrastructure, forms, data or connected systems;

  • probe, scan or test vulnerabilities without Actera’s prior written permission;

  • introduce malware, harmful code, automated abuse, excessive traffic or any material intended to disrupt the Site;

  • scrape, harvest or extract content or personal data at scale, except where permitted by law or expressly authorised by Actera;

  • impersonate another person or misrepresent your identity, affiliation or authority;

  • submit confidential, regulated, security-sensitive or special-category personal data through a general website form unless Actera has specifically requested it through an appropriate channel;

  • copy, modify, distribute or commercially exploit Site content except as expressly permitted by these Terms or applicable law; or

  • use Actera’s name, branding or content to suggest endorsement, partnership or customer status without written permission.

We may restrict or block access where we reasonably believe use of the Site creates a security, legal or operational risk.

6. Product information and service scope

Descriptions, interfaces, diagrams, examples, use cases, technical materials and roadmaps on the Site explain Actera and its capabilities. Availability of particular features, integrations or configurations may depend on the applicable service plan or written agreement.

Actera may change or discontinue capabilities from time to time. Nothing on the Site constitutes a contractual commitment to provide a specific feature, integration, certification, service level or commercial arrangement unless it is included in a separate written agreement.

Examples involving approvals, policy evaluation, security, compliance, audit evidence or regulated workflows are illustrative. They do not represent legal, regulatory, security, accounting or other professional advice and do not establish that use of Actera will, by itself, satisfy any particular legal, regulatory or assurance requirement.

7. Access requests and communications

Submitting an access request does not guarantee access, create a customer relationship, reserve capacity or oblige either party to proceed. We may decide whether, when and on what terms to offer access.

We may use the details you submit to respond to your enquiry, understand your use case, arrange product discussions and administer a business or service relationship. Our use of personal data is described in the Privacy Policy.

Unless we expressly agree otherwise in writing, information submitted through the Site is not treated as confidential. Do not include source code, credentials, production data, personal data about end users, security vulnerabilities or commercially sensitive information in a general form submission.

8. Intellectual property

The Site and its content—including text, design, graphics, interfaces, illustrations, software, branding, logos and documentation—are owned by or licensed to Actera and are protected by intellectual-property laws.

Actera grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for internal business evaluation. No other rights are granted. In particular, these Terms do not grant any licence to Actera’s product, software, APIs, policy models, documentation or trade marks.

“Actera” and associated names, marks and visual assets may not be used without prior written permission, except for accurate, non-misleading reference to Actera as permitted by law.

9. Feedback

If you voluntarily provide ideas, suggestions or feedback about the Site or Actera service, you allow Actera to use them without restriction or payment, provided that we do not identify you publicly as the source without permission. This does not transfer ownership of your pre-existing materials or confidential information disclosed under a separate written agreement.

10. Third-party services and links

The Site may link to or rely on third-party websites and services. Actera does not control third-party content, availability, security or privacy practices and is not responsible for them. A link does not imply endorsement. You should review the terms and privacy information of any third-party service you use.

11. Privacy and cookies

Our collection and use of personal data through the Site is described in the Privacy Policy. Our use of cookies and similar technologies is described in the Cookie Policy. Those policies form part of the information governing your use of the Site but do not create contractual rights beyond those provided by applicable law.

12. Availability and security

We aim to operate the Site responsibly, but we do not guarantee that it will always be available, uninterrupted, secure or error-free. Access may be suspended for maintenance, security, operational or other reasons. You are responsible for using appropriate device, browser and network security when accessing the Site.

13. Disclaimers

The Site is provided on an “as available” basis for general business information. To the fullest extent permitted by law, Actera excludes implied warranties, conditions and representations relating to the Site, including as to accuracy, completeness, fitness for a particular purpose, non-infringement and availability.

You should make your own assessment before relying on Site content or making technical, security, compliance, procurement or investment decisions. Any binding commitments must be set out in a separate written agreement signed by Actera.

Nothing in these Terms excludes obligations or liability that cannot lawfully be excluded.

14. Liability

To the fullest extent permitted by law, Actera will not be liable for:

  • loss arising from reliance on Site content or illustrative examples;

  • loss of profits, revenue, business, contracts, anticipated savings, data or goodwill;

  • indirect or consequential loss; or

  • loss caused by third-party services, unauthorised access outside Actera’s reasonable control, or use of the Site contrary to these Terms.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law.

15. Changes to or withdrawal of the Site

Actera may change, suspend or withdraw any part of the Site at any time. We are not obliged to keep content current or to preserve access to a particular page, form or feature.

16. General terms

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. A delay in enforcing a right is not a waiver of that right. You may not transfer your rights under these Terms without Actera’s written consent. No person other than you and Actera has a right to enforce these Terms.

These Terms and any non-contractual dispute arising from them are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except where mandatory law requires otherwise.

17. Contact

Questions about these Terms may be submitted through the contact or request-access form on the Site.
